1. Scope and Agreement

These Terms of Service govern your use of the ESG Stress Free platform ("the Service") operated by ESG Stress Free ("we", "us", "our"). By registering for or using the Service, you agree to be bound by these terms. If you do not agree, you must not use the Service.

These terms constitute the entire agreement between you and ESG Stress Free in relation to the Service and supersede any prior representations, agreements, or understandings.

2. Description of Service

ESG Stress Free provides a Software-as-a-Service platform that helps businesses manage ESG compliance, respond to supplier questionnaires, track greenhouse gas emissions, and document compliance evidence. The Service is designed primarily for small and medium-sized enterprises (SMEs) supplying regulated markets, including those subject to the UK Modern Slavery Act, TCFD, CSRD, LkSG, and related frameworks.

The Service provides tools and information to support compliance activities. It does not constitute legal, financial, or professional advice. You remain responsible for ensuring your compliance with applicable laws and regulations.

3. Your Account

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised access to your account.

You must provide accurate and complete information when registering and keep your account details up to date.

4. Subscription and Payment

Use of the Service requires a paid subscription. Subscriptions are billed annually in advance as the default option. All prices are in pounds sterling (GBP) unless otherwise stated and are subject to VAT where applicable. We will give you at least 30 days' notice of any price changes.

14-day money-back guarantee: If you are not satisfied with the Service within the first 14 calendar days of your subscription, we will refund the full amount — no questions asked. This guarantee applies to new subscriptions only.

Instalment payment option: For eligible plans, the annual fee may be paid in three equal consecutive monthly instalments: instalment 1 at the time of purchase, instalment 2 in month 2, instalment 3 in month 3. The total amount is equal to the standard annual price. By selecting this option, you authorise us to collect each instalment on the scheduled date. Failure to complete all three instalments may result in suspension of the Service.

5. Founding Subscriber and Early Adopter Rates

Where a subscriber has been offered a founding subscriber rate or an early adopter rate — including as part of a beta testing programme, a pre-launch offer, or a first-50-subscribers promotion — that rate is a fixed contractual term of the subscription agreement. It is not a promotional rate and may not be unilaterally withdrawn or increased by ESG Stress Free or any successor entity.

Founding and early adopter rates transfer with the subscription. In the event of any change of ownership, acquisition, merger, or transfer of the business or its assets, any successor entity is bound by the founding or early adopter rates applicable to existing subscribers at the time of that change. This obligation is binding on successors in title and is a condition of the subscription contract.

A founding or early adopter rate remains in force for the lifetime of the subscription, provided the subscription remains active and in good standing. It lapses only if the subscriber cancels their subscription. Reinstatement after cancellation does not restore the original rate.

Early adopter offers are available only to the first 50 paying subscribers following a formal launch announcement. Eligibility is determined by the date of first payment. We reserve the right to close the early adopter offer once 50 subscriptions have been activated, and will provide advance notice of the closing date where possible.

6. Cyber Security Monitoring

All subscription tiers include automated cyber security monitoring as part of the Service. This monitoring is provided through a third-party managed security partner and operates on a continuous, 24/7 basis. Incidents detected are reviewed and communicated by human security analysts in plain English, without the assumption of technical knowledge on the part of the subscriber.

The cyber monitoring component is designed to complement, not replace, any existing cyber security measures, advisers, or certifications you may have in place. It does not constitute a guarantee against cyber incidents. We are not liable for any losses arising from cyber incidents that occur despite the monitoring service being active.

The identity of the third-party security partner may change from time to time as we review and update our supplier arrangements. Any change will be communicated to subscribers with at least 30 days' notice. The standard of service — 24/7 human-led monitoring and plain-English incident communication — will be maintained regardless of which partner provides the underlying capability.

7. Acceptable Use

You agree not to use the Service to:

  • engage in any unlawful activity;
  • submit false, misleading, or inaccurate compliance data;
  • reverse-engineer, decompile, or copy the platform without authorisation;
  • disrupt or interfere with the operation of the platform or its infrastructure;
  • gain unauthorised access to third-party systems;
  • use the Service for competitive benchmarking purposes without our prior written consent.

8. Intellectual Property

All rights in the platform, including software, content, trade marks, and logos, remain with ESG Stress Free or its licensors. Your use of the Service grants you a non-exclusive, non-transferable licence to use the platform for the duration of your subscription. Your compliance data remains your property.

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018. By using the Service, you agree to the processing described in the Privacy Policy.

10. Limitation of Liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

Subject to the above, our total liability to you in connection with the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

We are not liable for any indirect, consequential, or special losses, loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.

11. Service Availability

We aim to maintain 99.5% monthly uptime. Planned maintenance will be announced in advance where possible. We do not guarantee uninterrupted access to the Service.

12. Cancellation

You may cancel your subscription at any time, effective at the end of the current billing period. We may terminate the Service immediately in the event of a material breach of these terms. Following cancellation, you may export your data within 30 days.

13. Changes to These Terms

We may update these terms from time to time. We will give you at least 30 days' notice of material changes by email. Continued use of the Service after that period constitutes acceptance of the updated terms. Founding subscriber rates and early adopter rates are not affected by changes to these terms.

14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
